B. Bedell
Benjamin Bedell is of counsel to Sadis
& Goldberg, LLP and is a member of the Corporate and
Financial Services Group of the Firm. Mr. Bedell counsels
hedge funds, venture capital investors and early stage
companies on all aspects of formation, regulation and
transactions. Mr. Bedell’s practice focuses on the negotiation
of partnership and shareholder agreements for both domestic
and offshore investment entities. He also represents issuers
and investors in private placements and advises on securities
law and corporate compliance issues. With over 12 years
experience in all phases of corporate finance, mostly at large
New York City firms, Mr. Bedell draws on a broad background to
service his clients.
Mr. Bedell specializes in representing funds in distressed
debt and derivatives transactions. He helped author the LSTA
form document that governs distressed debt transactions in the
U.S. and regularly negotiates deals utilizing the ISDA form.
He often represents U.S. based hedge funds in the purchase of
European and other offshore assets. His broad background in
debt and equity issuance and the secondary trading of these
assets is useful to clients seeking advice on transactions in
these areas. He regularly advises distressed debt funds on the
purchase and sale of secured debt and bankruptcy claims and
counsels on workout and bankruptcy related issues. He also
advises early stage companies in the structuring of capital
raising and exit strategies.
Mr. Bedell graduated from Columbia University and Yale Law
School. He clerked for the Hon. Sonia Sotomayor when she
served as a District Court judge in the Southern District of
New York. He is a member of the bar of New York and
Massachusetts, and is admitted to practice before the Southern
District of New York and the U.S. Court of Appeals for the
Second Circuit. He came to Sadis & Goldberg from the New
York office of one of the world’s largest law firms.
