Martin Stankiewicz
Martin Stankiewicz is an associate
at Sadis & Goldberg LLP and a member of the Corporate and
Financial Services Group of the firm. Mr. Stankiewicz represents
private investment vehicles, venture capital firms, private
equity firms, broker-dealers, investment advisers and commodity
pool operators. He regularly advises hedge funds, venture
capital funds and private equity funds in connection with
their organization, capital raising, and trading issues. He
regularly drafts offering memoranda for domestic and offshore
hedge funds as well as venture capital and private equity
funds. He is experienced in registering investment advisers
and commodity pool operators, and in interpreting the rules
and regulations governing their ongoing compliance. Mr. Stankiewicz
is experienced in researching and analyzing SEC and FINRA rules
and regulations relating to sales and advertising materials
and compliance-related filings.
Mr. Stankiewicz counsels corporations,
partnerships, and limited liability companies on a wide range
of corporate and securities matters, including share and asset
acquisition and divestitures. He regularly advises clients
on SEC and state regulatory filings, including various filings
in connection with large acquisitions and dispositions of
securities. Mr. Stankiewicz also drafts shareholder agreements,
organizational documents for limited liability companies and
partnerships, employment agreements and assignments of interest.
Mr. Stankiewicz received his J.D.
in 2000 from the Benjamin N. Cardozo School of Law and a B.A.
in 1996 from Bernard Baruch College. Mr. Stankiewicz is a
member of the New York State Bar. |
